We are looking for a structured product lawyer to join our Structuring Solutions team out of Partners Group’s New York or London office to contribute to our global set of structured product offerings. The individual will work closely with the Private Credit team and be responsible for designing, developing, and implementing Partners Group’s structured product suite.
Requirements
- 7+ years of relevant work experience at a top law firm, bank or asset manager focused on structuring securitization vehicles
- Juris Doctor (JD) degree from an accredited law school and admission to the bar in a US jurisdiction
- Experience drafting and reviewing offering documents, securitization documentation, including warehouse agreements, CLO and CFO transaction documentation, rating agency engagement letters, placement agent engagement letters, service provider agreements, loan origination documentation, investment management agreements, debentures, side letters and negotiating directly and independently with investors and their external counsel
- Familiarity with structuring forms of financing options for private credit funds (ABLs, loans to SPVs) and ability to review the associated credit documentation
- Experience structuring and drafting documents for rated feeders and CFOs
- Knowledge of the rating process and structural features, including working with rating agencies to achieve investment grade ratings for tranches of applicable structured products
- Familiarity with excel and experience interpreting waterfall and priority of payments
- Strong understanding of applicable regulation, including securities and advisory regulation as well as securitization laws (e.g., Securities Act of 1933, Investment Advisers Act of 1940, Dodd Frank risk retention rules, AIFMD, Securitisation Regulation, Volker Rule, NAIC rules, Solvency II, etc.)
- Strong understanding of relevant tax considerations for structures targeting a global investor base, primarily focused on insurance companies in US, Bermuda, UK and South Korean investors
- Excellent analytical, interpersonal and project management skills to manage multiple projects in parallel with a wide range of stakeholders
- Ability to effectively communicate with both internal and external parties to meet ambitious fund formation timelines
