Job Description
We are seeking an experienced Manager Corporate Governance to support the governance and corporate administration of TI Automotive. You’ll be responsible for statutory compliance, subsidiary governance support to the Board and Committees, and the accuracy of entity data across the group.
Requirements
- Draft written resolutions and minutes for our Board of Directors
- Maintain corporate records
- Maintain statutory registers
- Oversee PSC/UBO accuracy and updates
- Coordinate with Tax/Finance/HR on filings
- Serve as system admin/super user for entity management platform
- Manage biannual corporate data health checks
- Produce and refresh organizational charts
- Manage share allotments/transfers through Entities
- Build out historical data
- Shareholder Reporting for private equity shareholder quarterly and annual reporting preparation
- Lead UBO mapping and attestations
- Prepare KYC packs for banks and counterparties
- Support the wider legal team in large-scale projects and transactions
- Act as liaison for audits
